Terms of Service

These Terms & Conditions (“Terms”) govern your access to and use of the Encre Media Group, LLC website, creator platform, applications, services, and related features (collectively, the “Services”) operated by Encre Media Group, LLC (“Encre,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, do not use the Services.

Certain Encre services may also be governed by separate agreements, including distribution agreements, licensing agreements, creator agreements, payment agreements, or other written agreements. If a separate agreement applies to a particular service, that agreement may contain additional terms governing that service.

1. About Encre

Encre Media Group, LLC is an independent media and distribution company working with artists, filmmakers, podcasters, and other creators. Encre may provide services including:

  • Music distribution
  • Film distribution
  • Podcast distribution
  • Content delivery
  • Catalog management
  • Creator development
  • Marketing services
  • Licensing
  • Synchronization opportunities
  • Media placement
  • Analytics
  • Payment and earnings administration
  • Other media and creator services

Not every service is available to every creator. Encre may determine which services, opportunities, platforms, territories, or programs are available to a particular creator or project.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

If you are under the age of 18, you may not create an account or submit content unless Encre expressly permits it and the required parent or legal guardian authorization has been obtained.

By using the Services, you represent that:

  • You are legally capable of agreeing to these Terms;
  • Information you provide is accurate;
  • You will maintain accurate account information;
  • You will comply with applicable laws;
  • You have the authority to submit any content you provide to Encre.

3. Accounts

Certain Encre Services require an account. You are responsible for:

  • Providing accurate information;
  • Maintaining the security of your password;
  • Keeping your account information current;
  • Protecting your login credentials;
  • Not allowing unauthorized persons to access your account.

You are responsible for activity occurring through your account unless the activity resulted from circumstances outside your reasonable control. Notify Encre promptly if you believe your account has been compromised. Encre may suspend or terminate accounts that violate these Terms or applicable agreements.

4. Applications to Encre

Creators may apply to Encre through the website. Submitting an application does not guarantee acceptance. Encre may:

  • Accept an application;
  • Decline an application;
  • Request additional information;
  • Request additional materials;
  • Place an application under review;
  • Invite an applicant to continue through onboarding.

Encre is not required to provide a reason for declining an application unless required by applicable law or a separate agreement.

An application does not create a creator relationship, distribution relationship, partnership, agency relationship, or other contractual relationship with Encre.

5. Creator onboarding

Accepted creators may be invited to create a Encre account. Before accessing certain services, creators may be required to provide:

  • Identity information;
  • Tax information;
  • Payment information;
  • Ownership information;
  • Rights information;
  • Business information;
  • Other information reasonably necessary to provide the Services.

Creators may also be required to review and accept separate Encre agreements. Encre may restrict access to Services until required onboarding steps are completed.

6. Creator content

Creators may submit music, films, podcasts, artwork, videos, documents, metadata, and other materials (“Creator Content”). You retain ownership of your Creator Content except to the extent rights are expressly granted to Encre under a separate agreement.

By submitting Creator Content through the Services, you grant Encre the rights necessary to receive, review, store, process, administer, distribute, promote, license, or otherwise use the content as authorized by your applicable agreement with Encre.

The specific rights granted to Encre may be defined in a separate Distribution Agreement, Creator Agreement, Licensing Agreement, or other applicable contract.

Nothing in these Terms should be interpreted as transferring ownership of your intellectual property to Encre unless expressly stated in a separate agreement.

7. Creator representations

By submitting Creator Content, you represent and warrant that:

  1. You own or control the rights necessary to submit the content;
  2. You have obtained necessary permissions, licenses, releases, and consents;
  3. The content does not knowingly infringe another person’s intellectual property rights;
  4. The content does not knowingly violate applicable law;
  5. You have authority to enter into any applicable agreement concerning the content;
  6. Information and metadata you provide are accurate;
  7. You have disclosed relevant ownership or rights information;
  8. Any third-party material included in the content has been properly authorized.

You are responsible for obtaining any permissions necessary for your content.

8. Music submissions

Music creators may be required to provide accurate:

  • Artist information;
  • Track information;
  • ISRC information;
  • Songwriter information;
  • Producer information;
  • Composer information;
  • Copyright information;
  • Publishing information;
  • Master ownership information;
  • Explicit-content information;
  • Release information;
  • Artwork;
  • Lyrics;
  • Other metadata.

Encre may reject or delay a release if required information is missing, inaccurate, inconsistent, or potentially problematic. Encre may request documentation relating to ownership or rights before distributing a release.

9. Film submissions

Filmmakers may be required to provide information concerning:

  • Ownership;
  • Distribution rights;
  • Production;
  • Cast;
  • Crew;
  • Music;
  • Audio;
  • Subtitles;
  • Closed captions;
  • Localization;
  • Territory;
  • Licensing;
  • Other rights.

Encre may delay, reject, or restrict a film project if required information or rights documentation is incomplete.

10. Podcast submissions

Podcast creators are responsible for ensuring that they have appropriate rights to:

  • Audio;
  • Video;
  • Music;
  • Artwork;
  • Recordings;
  • Guest appearances;
  • Third-party materials;
  • Transcripts;
  • Other submitted materials.

Encre may request additional documentation when reasonably necessary.

11. Content review

Encre may review submitted content before distribution or other Services are provided. Encre may:

  • Approve content;
  • Reject content;
  • Request changes;
  • Request additional information;
  • Request rights documentation;
  • Delay delivery;
  • Restrict distribution;
  • Remove or suspend content;
  • Decline to provide a particular service.

Approval of content does not necessarily mean that Encre guarantees distribution, platform acceptance, audience performance, revenue, licensing, or commercial success.

12. Distribution

Encre may provide distribution services to selected creators. Distribution may involve third-party platforms and services. Potential destinations may include music, video, podcast, social, streaming, licensing, or other media platforms.

Encre does not guarantee:

  • Acceptance by a third-party platform;
  • Placement on a particular platform;
  • Editorial placement;
  • Playlist placement;
  • Search ranking;
  • Audience size;
  • Revenue;
  • Viral performance;
  • Licensing opportunities;
  • Synchronization opportunities;
  • Media placement.

Third-party platforms may independently reject, remove, restrict, or modify content.

13. Distribution availability

Distribution availability may vary based on:

  • Creator;
  • Content type;
  • Territory;
  • Platform;
  • Rights;
  • Technical requirements;
  • Platform policies;
  • Encre’s agreements;
  • Applicable law.

Encre may add or remove distribution destinations over time.

14. Distribution status

Content submitted through the Encre platform may display statuses including:

  • Draft
  • Awaiting Review
  • Changes Required
  • Approved
  • Rejected
  • Scheduled
  • Processing
  • Live
  • Takedown Requested
  • Failed

A status displayed in the Encre platform is an administrative status and does not guarantee that a third-party platform has accepted or published the content.

15. Takedowns and removals

Encre may remove, suspend, or request removal of Creator Content when reasonably necessary because of:

  • Copyright concerns;
  • Rights disputes;
  • Fraud;
  • Policy violations;
  • Platform requirements;
  • Legal requirements;
  • Creator requests;
  • Breach of agreement;
  • Security concerns;
  • Other legitimate business or legal reasons.

Where appropriate, Encre may provide the creator with notice or an opportunity to respond. Certain circumstances may require immediate action.

16. Copyright and intellectual property complaints

Encre respects intellectual property rights. If you believe content distributed or hosted through Encre infringes your copyright or other intellectual property rights, contact [email protected] with sufficient information for Encre to evaluate the claim.

Encre may remove or restrict access to disputed content while investigating a complaint. False or abusive claims may result in account restrictions or other appropriate action.

17. Creator analytics

Encre may provide creators with analytics concerning their content. Analytics may include:

  • Streams;
  • Views;
  • Downloads;
  • Audience information;
  • Geographic information;
  • Platform information;
  • Revenue;
  • Performance information.

Analytics may originate from third-party platforms. Encre does not guarantee that analytics are:

  • Complete;
  • Immediate;
  • Error-free;
  • Available at all times.

Third-party reporting delays may affect Encre’s analytics.

18. Earnings

Where applicable, creators may receive earnings generated through Encre Services. The calculation, timing, deductions, revenue share, fees, and payment procedures applicable to a creator will be governed by the creator’s applicable agreement.

A balance displayed on the Encre platform may be:

  • Estimated;
  • Pending;
  • Subject to adjustment;
  • Subject to third-party reporting;
  • Subject to applicable fees or deductions.

Creators should not treat an estimated balance as a guaranteed payment.

19. Payments

Where payment services are available, creators may be required to complete payment and tax onboarding. Encre may use third-party payment providers. Creators are responsible for providing accurate payment and tax information.

Encre is not responsible for delays caused by:

  • Incorrect payment information;
  • Payment provider issues;
  • Banking institutions;
  • Tax verification;
  • Regulatory requirements;
  • Fraud prevention procedures.

20. Tax responsibilities

Creators are responsible for their own tax obligations arising from payments received through Encre. Encre may collect tax information and provide tax reporting where required by law.

Encre does not provide tax advice. Creators should consult a qualified tax professional regarding their individual circumstances.

21. Encre Select

Encre Select is a selective program through which Encre may offer additional opportunities to certain creators or projects. Potential opportunities may include:

  • Marketing;
  • Creator development;
  • Artist development;
  • Licensing;
  • Synchronization;
  • Media placement;
  • Strategic distribution;
  • Selective label opportunities;
  • Other strategic opportunities.

Invitation to Encre Select does not guarantee that any particular service, deal, placement, payment, partnership, or opportunity will occur. Any specific opportunity may require a separate written agreement.

22. Licensing and synchronization

Encre may identify or facilitate licensing and synchronization opportunities for selected Creator Content. Potential opportunities may include:

  • Film;
  • Television;
  • Streaming;
  • Advertising;
  • Commercials;
  • Digital media;
  • Games;
  • Social media;
  • Other media.

Encre does not guarantee that any Creator Content will receive a licensing or synchronization opportunity. Any license or synchronization transaction may be governed by a separate agreement.

23. Third-party platforms

Encre may interact with third-party platforms and services. These may include:

  • Music services;
  • Streaming services;
  • Video platforms;
  • Podcast platforms;
  • Social media platforms;
  • Payment providers;
  • Cloud infrastructure providers;
  • Analytics providers.

Your use of those services may be subject to their own terms and policies. Encre is not responsible for the operation, availability, policies, or decisions of third-party platforms.

24. Prohibited activities

You may not use the Services to:

  • Violate applicable law;
  • Infringe intellectual property rights;
  • Submit stolen content;
  • Submit content you do not have rights to distribute;
  • Commit fraud;
  • Impersonate another person;
  • Misrepresent ownership;
  • Manipulate analytics;
  • Manipulate streams or engagement;
  • Upload malicious software;
  • Attempt unauthorized access;
  • Circumvent security systems;
  • Interfere with the Services;
  • Abuse other users;
  • Upload unlawful content;
  • Upload content intended to facilitate illegal activity;
  • Attempt to access another creator’s account;
  • Use Encre’s systems for unauthorized commercial purposes.

Encre may suspend or terminate accounts engaging in prohibited activity.

25. Artificial streaming and fraud

Creators must not engage in artificial or fraudulent engagement practices. This may include:

  • Artificial streams;
  • Bot traffic;
  • Purchased fraudulent engagement;
  • Click farms;
  • Manipulated views;
  • Fake downloads;
  • Fraudulent accounts;
  • Other attempts to artificially inflate performance.

If Encre reasonably believes fraudulent activity has occurred, Encre may:

  • Investigate;
  • Withhold or adjust earnings;
  • Delay payments;
  • Remove content;
  • Request additional information;
  • Suspend the account;
  • Terminate the applicable agreement.

26. Website and platform content

The Encre website and platform may contain text, graphics, logos, images, videos, software, UI elements, designs, documentation, and other materials. Except for third-party materials and creator-owned materials, these materials are owned by or licensed to Encre and are protected by applicable intellectual property laws.

You may not reproduce, modify, distribute, sell, or exploit Encre’s proprietary materials without authorization.

27. Encre trademarks

“Encre,” associated logos, names, designs, and related branding may be trademarks or intellectual property of Encre Media Group, LLC or its licensors. You may not use Encre branding in a way that suggests an unauthorized endorsement, partnership, affiliation, or sponsorship.

28. Feedback

If you provide suggestions, ideas, recommendations, or feedback regarding Encre’s Services, you grant Encre permission to use that feedback without compensation or obligation to you, provided such use does not disclose confidential information or violate applicable law.

29. Confidentiality

Confidential information provided through the Services may be subject to Encre’s Privacy Policy and/or separate agreements. If a separate confidentiality agreement applies, that agreement controls the treatment of confidential information to the extent of any conflict.

30. Privacy

Your use of the Services is also subject to Encre’s Privacy Policy. The Privacy Policy explains how Encre collects, uses, stores, and discloses personal information. Privacy Policy: https://encremedia.com/privacy

31. Security

You may not attempt to:

  • Access systems without authorization;
  • Circumvent authentication;
  • Scan or attack Encre infrastructure;
  • Introduce malware;
  • Interfere with platform operations;
  • Access private files;
  • Access another user’s account;
  • Circumvent technical restrictions.

Encre may investigate suspected security violations and take appropriate action.

32. Availability of services

Encre will make reasonable efforts to maintain the Services. However, Encre does not guarantee that the Services will always be:

  • Available;
  • Uninterrupted;
  • Error-free;
  • Secure;
  • Compatible with every device;
  • Free from delays.

Maintenance, upgrades, outages, third-party failures, security incidents, and other circumstances may temporarily affect availability.

33. Modifications to services

Encre may modify, suspend, discontinue, or replace portions of the Services. This may include:

  • Features;
  • Distribution destinations;
  • Creator tools;
  • Analytics;
  • Platform functionality;
  • Programs;
  • Services.

Where a change materially affects an existing contractual obligation, the applicable separate agreement may control.

34. Termination and suspension

Encre may suspend or terminate access to the Services when reasonably necessary because of:

  • Violation of these Terms;
  • Violation of another Encre agreement;
  • Fraud;
  • Rights disputes;
  • Security concerns;
  • Illegal activity;
  • Abuse;
  • Nonpayment;
  • Platform requirements;
  • Legal requirements;
  • Other legitimate business reasons.

Creators may also terminate their account subject to any applicable agreements. Termination of an account does not automatically terminate separate contractual obligations.

35. Effect of termination

After termination:

  • Access to the platform may be disabled;
  • Creator materials may be removed or restricted;
  • Distribution may be suspended;
  • Payments may remain subject to applicable agreements;
  • Certain information may be retained where legally or operationally necessary.

Content removal and payment obligations may be governed by separate agreements.

36. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

ENCRE DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

ENCRE DOES NOT GUARANTEE: COMMERCIAL SUCCESS; AUDIENCE GROWTH; STREAMS; VIEWS; SALES; REVENUE; LICENSING; SYNCHRONIZATION; MEDIA PLACEMENT; PLATFORM ACCEPTANCE; EDITORIAL PLACEMENT; PLAYLIST PLACEMENT; VIRAL PERFORMANCE; OR SPECIFIC DISTRIBUTION RESULTS.

37. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENCRE MEDIA GROUP, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENCRE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL BE LIMITED TO THE GREATER OF: (1) THE AMOUNT YOU PAID TO ENCRE FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (2) $100.

This limitation does not apply where prohibited by law or to liabilities that cannot legally be limited.

38. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Encre Media Group, LLC and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your violation of these Terms;
  • Your violation of another agreement with Encre;
  • Your Creator Content;
  • Your violation of another person’s rights;
  • Your failure to obtain required permissions;
  • Your misuse of the Services;
  • Your violation of applicable law.

39. Disputes

Before initiating formal legal proceedings, the parties should make reasonable efforts to resolve disputes directly. You may contact Encre at [email protected] with the subject: Legal Dispute.

Certain creator disputes may be governed by separate agreements containing additional dispute-resolution procedures.

40. Governing law

Unless otherwise required by applicable law or provided in a separate agreement, these Terms will be governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any court proceedings must be brought in a court with appropriate jurisdiction in Minnesota, unless applicable law requires otherwise.

41. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

42. No waiver

A failure by Encre to enforce a provision of these Terms does not constitute a waiver of Encre’s right to enforce that provision later.

43. Entire agreement

These Terms, together with the Privacy Policy and any applicable agreements referenced herein, constitute the agreement governing your use of the Services. Separate agreements may govern specific services or creator relationships.

If there is a conflict between these Terms and a separate written agreement, the separate agreement will control with respect to the specific subject matter covered by that agreement.

44. Assignment

You may not assign or transfer your rights or obligations under these Terms without Encre’s written consent where required. Encre may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or similar transaction.

45. Changes to these Terms

Encre may update these Terms from time to time. When we update them, we will change the Last Updated date at the top. Where required, we may provide additional notice of material changes.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
